Physical representative
The permanent representative is charged with the execution of an assignment in the name and for the account of the manager-legal person. He or she will be deemed to be the mandated officer of the manager-legal person.

The permanent representative is always obliged to be affiliated under the social status of self-employed persons.

The permanent representative can be one of the following:

  • Manager, business manager or (active) partner of the director-legal person
    The permanent representative falls under application of the self-employed persons act on the ground of articles 3, §1, 4th point Royal Decree no . 38 and 2 ARS.

  • Employee of the director-legal person
    It concerns here a mandate in the civil sense of the word.
    The permanent representative falls under application of the self-employed persons act on the ground of article 2 ARS. Article 3, §1, 4th point Royal Decree no. 38 is not applicable.
